GIRLS TRAVELING TORNADOES BASKETBALL ASSOCIATION

ARTICLE I
MISSION STATEMENT

Girls Traveling Tornadoes Basketball Association has been developed to provide girls within the Anoka Community in grades 3rd through 8th an opportunity to play basketball at a highly competitive level.   The program is designed to teach basketball skills necessary to compete at the highest level possible while emphasizing sportsmanship, work ethic and being a team player.

ARTICLE II
STATUS AND NAME

Section 2. 1 Status This Association is a non-profit Organization. No asset of the association shall benefit any director or member.
Section 2. 2 Name The Association shall be known as the Girls Traveling Tornadoes Basketball Association and will be referred as GTTBA for the remainder of the document

ARTICLE III
BOARD OF DIRECTORS

Section 3.1 Responsibility The Board of Directors is charged with the overall responsibility for the affairs of GTTBA including, but not limited to, adoption, approval and enforcement of all policies and procedures in the best interest of GTTBA.
Section 3.2 Organization The Board of Directors consists of the President, Vice President, Treasurer, Secretary, Equipment/Tryout Director, Tournament Director, Facilities Director.
3.2.1 Specific responsibilities for each Director and/or Board Member are detailed in the GTTBA Manual of Operations.
3.2.2 When necessary, any Director and/or Board member may carry out the responsibilities of more than one office.
Section 3.3 Term Members of the GTTBA Board of Directors are elected by a majority of Voting Members.
Each Director of the GTTBA shall be assigned a classification number (e. g. 1,2,3,4, etc). Directors with classification numbers evenly divisible by two will stand for election in years, which are evenly divisible by two. Remaining Directors will stand for election on those years not evenly divisible by two. Each director shall have the right to be re-elected to succeeding terms.
Section 3.4 Election of Board of Directors Elections will be held at the end of the season banquet in March. After Board of Directors have been elected, standing board members will take nominations for open positions and vote them in
3.4.1 Nominations can be accepted by the Secretary from any Voting Member of GTTBA.
3.4.2 Votes are cast by any adult over 18 with a voting membership in GTTBA.
3.4.3 One Voting Member cannot exercise two or more votes.
3.4.4 Voting for all board positions are open to anybody with a voting membership in GTTBA.
3.4.5 Proxies are not allowed.
3.4.6 A simple majority shall determine the winner of the election for the open position(s).
3.4.7 The Secretary of GGTBA is responsible for monitoring and validating the vote.
Section 3.5 Vacancies Any Vacancies on the Board of Directors by reason of death, resignation, removal or disqualification shall be filled for the unexpired term by appointment and majority vote of the Board of Directors.
Section 3.6 Removal of Board Member A Board Member may be removed at any time, for just cause, by the majority vote of the Board.
Reasons for just cause are but not limited too:
*3 or more unexcused absences from a board meeting
*Inappropriate behavior of a board member
*Failure to follow code of conduct
*Any actions that are detrimental to the reputation of the organization are ground for removal
Section 3. 7 Executive Board An executive board will be formed annually and will consist of a Coaching Director and 1 parent representative from each team. Executive board members do not have a vote but have the voice for the team they represent. It is the responsibility of Executive board members to attend a minimum of 3 board meetings during the basketball season.
3.7.1 Parent Representatives are the main link between the board and the team they represent
3.7.2 Coaching Director is a representative for all coaches

ARTICLE IV
BOARD OF DIRECTORS' MEETINGS

Section 4.1 Regular Meetings Regular meetings of the GGTBA Board will be held monthly unless conflicts arise. All Board Members will receive advance notification.
Section 4.2 Special Meetings A special meeting of the GGTBA Board may be called for any purpose at any time by any Board Member. Notice of such special meeting is to be given to all GGTBA Board Members no less than seven days notice prior to such meeting.
Section 4.3 Other Meetings All Meetings of any identified sub-committee or groups will be held as called by the appointed Director or committee chairperson
Section 4.4 Rules of Order Roberts Rules of Order shall be the parliamentary authority of all matters not covered by the Constitution and by-laws of the Girls Traveling Tornadoes Basketball Association.

The order may vary at the discretion of the presiding officer.
Section 4.4 Quorum There must be a minimum of 80% of the full Board of Directors present before any issue can be voted on. Issues requiring a vote without the minimum number of members present must be tabled until the next meeting.

ARTICLE V
VOTING MEMBERS

Section 5. 1 Voting Membership 5.1.1 A traveling basketball player with a paid registration fee for GTTBA represents one vote in GTTBA to be cast by a parent or legal guardian.
5.1.2 Membership on the GTTBA Board of Directors constitutes one vote in GTTBA only if a Board Member does not have a player in GTTBA.
5.1.3 If a Board Member has a player in GTTBA then that Board Member is entitled to only one vote as described in 5.1.1
Section 5.2 Rights and Obligations The Voting Members of GTTBA as such shall have no right, title or interest in the property, funds or assets of GTTBA.
Section 5.3 Termination of Membership Voting Membership of GTTBA shall be terminated at any time for just cause, by the majority vote of the Board.
Section 5.4 New Season The new GTTBA season begins in April with new board members in place the season runs from April to March. As the new season begins the by-laws and articles of incorporation may be reviewed at an annual meeting with respect to such notice that is required.

ARTICLE VI
PLAYER PARTICIPATION IN GGTBA

Section 6.1 Eligibility
6.1.1 A player must be female with a paid registration fee for GGTBA.
6.1.2 A player in the GGTBA program must be a resident of School District #11, attend school within the boundaries of Anoka High School Attendance area.
Section 6.2 Team Selection Tryouts are open to all players in grades 3 through 8.
Section 6.3 Playing Time Grade 4-5 'B'- equal and fair playing time as situation allows and as determined by coach. Grades 5 'A'- 8 -competitive play with playing time determined by coach (no guaranteed playing time in Grades 7 and 8. Playing time earned through work ethic and competitive play).

ARTICLE VII
SELECTION OF COACHES

Section 7.1 Qualifications The candidates may be male or female. They should be at least 21 years of age. The candidates should have a basic knowledge of basketball and possess good administration and management skills.
Section 7.2 Selection Process The GTTBA Board may interview each applicant and must select a coach for each traveling team. If there are not enough applicants to fill all the open positions, the Board will be required to recruit qualified individuals for those open positions. Any applicant for a coaching position, either head coach or assistant coach, must disclose whether he / she has any history of pedophilia or any criminal record and submit a criminal background check. Coaches are approved for the current season only and must be approved each year to continue in the traveling program. To be considered, a coach does not have to stay with the same team he / she coached the prior year(s).
Section 7.3 Termination The Board has the authority to terminate and replace coaches who exhibit inappropriate behaviors as determined by the Board. Please refer to operations manual for further explanation.

ARTICLE VIII
CONTRACTS, CHECKS, DEPOSITS and FUNDS

Section 8.1 Contracts The Board of Directors may authorize any officer or officers, agent or agents of the GTTBA, in addition to the officers so authorized by these bylaws, to enter into any contract or execute and deliver any instrument in the name of and on behalf of the GTTBA, and such authority may be general or confined to specific instances.
Section 8.2 Checks, Drafts, etc. All checks, drafts or orders for the payment of money, notes or other evidences of indebtedness issued in the name of the GTTBA, shall be signed by such officer or officers, agent or agents of the GTTBA and in such manner as shall from time to time be determined by resolution of the Board of Directors. In the absence of such determination by the Board of Directors, such instruments shall be signed by the Treasurer or and countersigned by the President or Vice President of the GTTBA.
Section 8.3 Deposits All funds of the GTTBA shall be deposited from time to time to the credit of the GGTBA in such banks, trust companies or other depositaries as the Board of Directors may select.
Section 8.4 Gifts The Board of Directors may accept on behalf of the GTTBA any contribution, gift, bequest or devise for the general purposes or for any special purpose of the GTTBA.

ARTICLE IX
FISCAL YEAR

The fiscal year of the GTTBA shall begin on the first day of July and end on the last day of June in each year.

ARTICLE X
WAIVER OF NOTICE

Whenever any notice is required to be given under the provisions of the Minnesota Non-Profit Corporation Act or under the provisions of the articles of incorporation or the bylaws of the GTTBA, a waiver thereof in writing signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice.

ARTICLE XI
INDEMNIFICATION

Section 11. 1 General GTTBA shall indemnify its officers, Directors, committee members, employees, and agents in the manner set forth in Minnesota Statues 317A. 521, provided GTTBA has made such determination or determinations, if any, as it may reasonably require to establish that the standards set forth in Minnesota Statues
317A521Subd. 2 have been met. In addition, GTTBA may, in the sole discretion of its Board of Directors, indemnify such persons or any other person under such circumstances or different circumstances as the Board shall deem appropriate, as long as the Board reasonably believes such indemnification to be in the best interest of GTTBA.
Section 11.2 Rights Not Exclusive The indemnification provided by this article shall continue as to a person who has ceased to be a Director, officer, employee or agent and shall inure to the benefit of the heirs, executors, and administrators of such a person. Nothing contained in this Article shall affect any rights to indemnification to which GTTBA personnel other than Directors and officers may be entitled by contract or otherwise by law.
Section 11. 3 Insurance GTTBA may buy and maintain insurance on behalf of any person who is or was a Director, officer, employee or agent of GTTBA, or is or was serving at the request of GTTBA as a Director, officer, employee or agent of another Corporation, partnership, joint venture, trust, or other enterprise against any liability asserted against him or her, and incurred by him or her in any such capacity.

ARTICLE XII
ADOPTION, AMENDMENTS AND DISSOLUTION

Section 12.1 Adoption These By-Laws and any amendments thereto, may be adopted at any membership or special meeting of the Association by two- thirds vote of members present and entitled to vote. Adjustments or additions may be made up to 1 year after adoption. On the anniversary of adoption the by-laws will then be re approved and any changes will then for go the process as stated in 5.4 and 12.2

Section 12.2 Amendments Any amendments to the by-laws of The Girls Traveling Tornadoes Basketball Association shall be submitted and accepted or rejected using the following procedure: The amendment would be submitted to the Board and reviewed thirty (30) days prior to the official vote on the amendment. Notice of the amendment must be published in the Secretary's meeting minutes. Adoption of the amendment requires a three-fourths vote of the total voting membership in person or by proxy.
Section 12.3 Dissolution The Board of Directors, by two-thirds affirmative vote of all board members, may recommend that the Association be dissolved and that the question of such dissolution be submitted to a vote at a subsequent meeting of members. Notice of the meeting shall highlight the question of dissolution. At the meeting a two-thirds affirmative vote of members present and entitled to vote shall be required to approve a resolution of dissolution.

ARTICLE XIII
MISCELLANEOUS

Section 13.1 Issues Not Covered Any issues not covered under these Bylaws or not covered in the Operations Manual will be decided solely by the Board of Directors.
